Terms and Conditions for Semi-Exclusive Royalty Free Usage and the Assignment Estimate, Confirmation, and Invoice
This agreement grants a one-time semi-exclusive Royalty free usage by _________________________ to use the photographs described on this document. This licensing agreement pertains to the purchase of files for Internet and digital use. This is a legal and binding agreement between you and Obscure Observations Stock Photography.
“Image” means all images and related informational materials in any medium furnished by Obscure Observations, including related text and captions.
“Invoice” means the computer generated invoice that sets forth the specific areas of use for the images selected, grants you the Reproduction rights chosen and states the corresponding prices for such images.
“Reproduction” includes any form of copying or publication for electronic or digital means. You may not assign Reproduction rights granted to you. They are personal to you and your agency.
Images are licensed with no rights protection on a non-transferable, one-time, semi-exclusive basis for two years. The downloadable JPEG images are intended for Internet and digital use and this license grants a one-time semi-exclusive right for use of the JPEG file. The invoice together with this agreement and all applicable sections found in the Royalty-Free terms for use found on the Obscure Observations website constitutes the full license granted for use of selected images and the copyright remains with the photographer. Use of any image in a manner not specifically authorized constitutes an infringement of Obscure Observations images, and the third party licensors’ proprietary rights and will subject you to infringement damages. Use of an image in pornographic, defamatory, libelous, or an otherwise unlawful use of an image is strictly prohibited. For each image licensed by you from Obscure Observations you must provide the copyright symbol and the name Obscure Observations. This License may not be transferred to a third party without the written consent of the copyright holder. Unauthorized use of any image constitutes copyright infringement and shall entitle Obscure Observations to exercise all right and remedies under applicable copyright law. Obscure Observations in its sole discretion reserves the right to bill you up to (10) ten times the normal license fee for any unauthorized use.
